  8. NETSCAPE NAVIGATOR END USER LICENSE AGREEMENT
  9. REDISTRIBUTION NOT PERMITTED
  10.  
  11. GRANT: Netscape Communications Corporation ("Netscape") 
  12. hereby grants to you a non-exclusive license to use 
  13. its accompanying software product  ("Software") and 
  14. accompanying documentation("Documentation") on the 
  15. following terms: 
  16.  
  17. YOU MAY: 
  18. use the Software only in conjunction with AT&T WorldNet Service; 
  19. use the Software on any single computer; 
  20. use the Software on a second computer so long as the first
  21. and second computers are no used simultaneously; or 
  22. copy the Software for archival purposes, provided any copy
  23. must contain all of the original Software's proprietary
  24. notices. 
  25.  
  26. YOU MAY NOT:
  27. use (or permit other to use) the Software separately
  28. from the AT&T WorldNet Service;
  29. permit other individuals to use the Software except
  30. under the terms listed above;
  31. modify, translate, reverse engineer, decompile, 
  32. disassemble (except to the extent applicable laws
  33. specifically prohibit such restriction),  or create
  34. derivative works based on the Software or Documentation;
  35. copy the Software or Documentation (except for back-up
  36. purposes and to review and reproduce off-line any 
  37. Document displayed in the "Help" section of the 
  38. AT&T WorldNet Service 
  39. rent, lease, transfer or otherwise transfer rights to the 
  40. Software or Documentation; or remove any proprietary 
  41. notices or labels on the Software or Documentation.

  44. The remainder of this Agreement has 3 parts.  Part I 
  45. applies if you have not purchased a license to the 
  46. accompanying software (the "Software").  Part II 
  47. applies if you have purchased a license to the Software.
  48. Part III applies to all license grants.  If you initially
  49. acquired a copy of the Software without purchasing
  50. a license and you wish to purchase a license, contact
  51. Netscape Communications Corporation ("Netscape")
  52. on the Internet at http://www.netscape.com.  
  53.  
  54. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID
  55. (LIMITED TO EVALUATION, EDUCATIONAL AND NON-PROFIT USE) 
  56. GRANT. 
  57.  
  58. Netscape grants you a non-exclusive license to use the 
  59. Software free of charge if (a) you are a student, 
  60. faculty member or staff member of an educational 
  61. institution (K-12, junior college, college or library) 
  62. or an employee of an organization which meets Netscape's 
  63. criteria for a charitable non-profit organization; or 
  64. (b) your use of the Software is for the purpose of 
  65. evaluating whether to purchase an ongoing license to the 
  66. Software.  The evaluation period for use by or on behalf 
  67. of a commercial entity is limited to 90 days; evaluation 
  68. use by others is not subject to this 90 day limit.  
  69. Government agencies (other than public libraries) are 
  70. not considered educational or charitable non-profit 
  71. organizations for purposes of this Agreement.  If you 
  72. are using the Software free of charge, you are not 
  73. entitled to hard-copy documentation, support or 
  74. telephone assistance.  If you fit within the description 
  75. above, you may use the Software in the manner described 
  76. in Part III below under "Scope of Grant." 
  77.  
  78. DISCLAIMER OF WARRANTY.
  79.  
  80. Free of charge Software is provided on an "AS IS" 
  81. basis, without warranty of any kind, including without 
  82. limitation the warranties of merchantability, fitness 
  83. for a particular purpose and non-infringement.  The 
  84. entire risk as to the quality and performance of the 
  85. Software is borne by you.  Should the Software prove 
  86. defective, you and not Netscape assume the entire cost 
  87. of any service and repair.  In addition, the security 
  88. mechanisms implemented by Netscape software have 
  89. inherent limitations, and you must determine that the 
  90. Software sufficiently meets your requirements.  This 
  91. disclaimer of warranty constitutes an essential part of 
  92. the agreement.  SOME JURISDICTIONS DO NOT ALLOW 
  93. EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER 
  94. MAY NOT APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS 
  95. THAT VARY BY JURISDICTION.  
  96.  
  97. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  98.  
  99. GRANT.  Subject to payment of applicable license fees, 
  100. Netscape grants to you a non-exclusive license to use 
  101. the Software and accompanying documentation 
  102. ("Documentation") in the manner described in Part III 
  103. below under "Scope of Grant." 
  104.  
  105. LIMITED WARRANTY.
  106.  
  107. Netscape warrants that for a period of ninety (90) days 
  108. from the date of acquisition, the Software, if operated 
  109. as directed, will substantially achieve the 
  110. functionality described in the Documentation.  Netscape 
  111. does not warrant, however, that your use of the Software 
  112. will be uninterrupted or that the operation of the 
  113. Software will be error-free or secure.  In addition, the 
  114. security mechanisms implemented by Netscape software 
  115. have inherent limitations, and you must determine that 
  116. the Software sufficiently meets your requirements.  
  117. Netscape also warrants that the media containing the 
  118. Software, if provided by Netscape, is free from defects 
  119. in material and workmanship and will so remain for 
  120. ninety (90) days from the date you acquired the 
  121. Software.  Netscape's sole liability for any breach of 
  122. this warranty shall be, in Netscape's sole discretion: 
  123. (i) to replace your defective media; or (ii) to advise 
  124. you how to achieve substantially the same functionality 
  125. with the Software as described in the Documentation 
  126. through a procedure different from that set forth in the 
  127. Documentation; or (iii) if the above remedies are 
  128. impracticable, to refund the license fee you paid for 
  129. the Software.  Repaired, corrected, or replaced Software 
  130. and Documentation shall be covered by this limited 
  131. warranty for the period remaining under the warranty 
  132. that covered the original Software, or if longer, for 
  133. thirty (30) days after the date (a) of shipment to you 
  134. of the repaired or replaced Software, or (b) Netscape 
  135. advised you how to operate the Software so as to achieve 
  136. the functionality described in the Documentation.  Only 
  137. if you inform Netscape of your problem with the Software 
  138. during the applicable warranty period and provide 
  139. evidence of the date you purchased a license to the 
  140. Software will Netscape be obligated to honor this 
  141. warranty.  Netscape will use reasonable commercial 
  142. efforts to repair, replace, advise or, for individual 
  143. consumers, refund pursuant to the foregoing warranty 
  144. within 30 days of being so notified.  
  145.  
  146. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY 
  147. MADE BY NETSCAPE.  NETSCAPE MAKES NO OTHER EXPRESS 
  148. WARRANTY AND NO WARRANTY OF NONINFRINGEMENT OF THIRD 
  149. PARTIES' RIGHTS.  THE DURATION OF IMPLIED WARRANTIES, 
  150. INCLUDING WITHOUT LIMITATION, WARRANTIES OF 
  151. MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE, 
  152. IS LIMITED TO THE ABOVE LIMITED WARRANTY PERIOD; SOME 
  153. JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN 
  154. IMPLIED WARRANTY LASTS, SO LIMITATIONS MAY NOT APPLY TO 
  155. YOU.  NO NETSCAPE DEALER, AGENT, OR EMPLOYEE IS 
  156. AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR 
  157. ADDITIONS TO THIS WARRANTY.  If any modifications are 
  158. made to the Software by you during the warranty period; 
  159. if the media is subjected to accident, abuse, or 
  160. improper use; or if you violate the terms of this 
  161. Agreement, then this warranty shall immediately be 
  162. terminated.  This warranty shall not apply if the 
  163. Software is used on or in conjunction with hardware or 
  164. software other than the unmodified version of hardware 
  165. and software with which the software was designed to be 
  166. used as described in the Documentation.  THIS WARRANTY 
  167. GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER 
  168. LEGAL RIGHTS THAT VARY BY JURISDICTION.  
  169.  
  170. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  171.  
  172. SCOPE OF GRANT.
  173.  
  174. You may:
  175. * use the Software on any single computer;
  176. * use the Software on a network, provided that each
  177.   person accessing the Software through the network
  178.   must have a copy licensed to that person;
  179. * use the Software on a second computer so long as only
  180.   one copy is used at a time;
  181. * copy the Software for archival purposes, provided any
  182.   copy must contain all of the original Software's
  183.   proprietary notices; or
  184. * if you have purchased licenses for a 10 Pack or a 50
  185.   Pack, make up to 10 or 50 copies, respectively, of
  186.   the Software (but not the Documentation), provided
  187.   any copy must contain all of the original Software's 
  188.   proprietary notices.  The number of copies is the
  189.   total number of copies that may be made for all 
  190.   platforms.  Additional copies of Documentation may be 
  191.   purchased.
  192.  
  193. You may not:
  194. * permit other individuals to use the Software except
  195.   under the terms listed above;
  196. * permit concurrent use of the Software;
  197. * modify, translate, reverse engineer, decompile,
  198.   disassemble (except to the extent applicable laws 
  199.   specifically prohibit such restriction), or create 
  200.   derivative works based on the Software;
  201. * copy the Software other than as specified above;
  202. * rent, lease, grant a security interest in, or
  203.   otherwise transfer rights to the Software; or
  204. * remove any proprietary  notices or labels on the
  205.   Software.
  206.  
  207. TITLE.
  208.  
  209. Title, ownership rights, and intellectual property 
  210. rights in the Software shall remain in Netscape and/or 
  211. its suppliers.  The Software is protected by the 
  212. copyright laws and treaties.  Title and related rights 
  213. in the content accessed through the Software is the 
  214. property of the applicable content owner and may be 
  215. protected by applicable law.  This License gives you no 
  216. rights to such content.  
  217.  
  218. TERMINATION.
  219.  
  220. The license will terminate automatically if you fail to 
  221. comply with the limitations described herein.  On 
  222. termination, you must destroy all copies of the Software 
  223. and Documentation.  
  224.  
  225. EXPORT CONTROLS.
  226.  
  227. None of the Software or underlying information or 
  228. technology may be downloaded or otherwise exported or 
  229. reexported (i) into (or to a national or resident of) 
  230. Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria 
  231. or any other country to which the U.S.  has embargoed 
  232. goods; or (ii) to anyone on the U.S.  Treasury 
  233. Department's list of Specially Designated Nationals or 
  234. the U.S.  Commerce Department's Table of Denial Orders.  
  235. By downloading or using the Software, you are agreeing 
  236. to the foregoing and you are representing and warranting 
  237. that you are not located in, under the control of, or a 
  238. national or resident of any such country or on any such 
  239. list.  
  240.  
  241. In addition, if the licensed Software is identified as a 
  242. not-for-export product (for example, on the box, media 
  243. or in the installation process), then the following 
  244. applies: EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA 
  245. BY CANADIAN CITIZENS, THE SOFTWARE AND ANY UNDERLYING 
  246. TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED STATES 
  247. OR TO ANY FOREIGN ENTITY OR "FOREIGN PERSON" AS 
  248. DEFINED BY U.S.  GOVERNMENT REGULATIONS, INCLUDING 
  249. WITHOUT LIMITATION, ANYONE WHO IS NOT A CITIZEN, 
  250. NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED 
  251. STATES.  BY DOWNLOADING OR USING THE SOFTWARE, YOU ARE 
  252. AGREEING TO THE FOREGOING AND YOU ARE WARRANTING THAT 
  253. YOU ARE NOT A "FOREIGN PERSON" OR UNDER THE CONTROL OF 
  254. A FOREIGN PERSON.  
  255.  
  256. LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES AND 
  257. UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, 
  258. SHALL NETSCAPE OR ITS SUPPLIERS OR RESELLERS BE LIABLE 
  259. TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, 
  260. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER 
  261. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF 
  262. GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR 
  263. MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR 
  264. LOSSES.  IN NO EVENT WILL NETSCAPE BE LIABLE FOR ANY 
  265. DAMAGES IN EXCESS OF THE AMOUNT NETSCAPE RECEIVED FROM 
  266. YOU FOR A LICENSE TO THE SOFTWARE, EVEN IF NETSCAPE 
  267. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH 
  268. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.  THIS 
  269. LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR 
  270. DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW 
  271. PROHIBITS SUCH LIMITATION.  FURTHERMORE, SOME 
  272. JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION 
  273. OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS 
  274. LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.  
  275.  
  276. HIGH RISK ACTIVITIES.
  277.  
  278. The Software is not fault-tolerant and is not designed, 
  279. manufactured or intended for use or resale as on-line 
  280. control equipment in hazardous environments requiring 
  281. fail-safe performance, such as in the operation of 
  282. nuclear facilities, aircraft navigation or communication 
  283. systems, air traffic control, direct life support 
  284. machines, or weapons systems, in which the failure of 
  285. the Software could lead directly to death, personal 
  286. injury, or severe physical or environmental damage 
  287. ("High Risk Activities").  Netscape and its suppliers 
  288. specifically disclaim any express or implied warranty of 
  289. fitness for High Risk Activities.  
  290.   
  291. MISCELLANEOUS.
  292.  
  293. If the copy of the Software you received was accompanied 
  294. by a printed or other form of "hard-copy" End User 
  295. License Agreement whose terms vary from this Agreement, 
  296. then the hard-copy End User License Agreement governs 
  297. your use of the Software.  This Agreement represents the 
  298. complete agreement concerning this license and may 
  299. amended only by a writing executed by both parties.  THE 
  300. ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS 
  301. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS 
  302. SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.  
  303. If any provision of this Agreement is held to be 
  304. unenforceable, such provision shall be reformed only to 
  305. the extent necessary to make it enforceable.  This 
  306. Agreement shall be governed by California law (except 
  307. for conflict of law provisions).  The application the 
  308. United Nations Convention of Contracts for the 
  309. International Sale of Goods is expressly excluded.  
  310.  
  311. U.S.  GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or 
  312. disclosure by the Government is subject to restrictions 
  313. set forth in subparagraphs (a) through (d) of the 
  314. Commercial Computer-Restricted Rights clause at FAR 
  315. 52.227-19 when applicable, or in subparagraph (c)(1)(ii) 
  316. of the Rights in Technical Data and Computer Software 
  317. clause at DFARS 252.227-7013, or at 252.211-7015, or to 
  318. Netscape's standard commercial license, as applicable, 
  319. and in similar clauses in the NASA FAR Supplement.
